In a significant win for homebuyers, the Bombay High Court has unequivocally declared that a housing society's right to 'deemed conveyance' under Maharashtra law cannot be held hostage by a developer undergoing Corporate Insolvency Resolution Process (CIRP) or by prior, broad consents for future construction. This landmark ruling sets aside a decision that had denied Rose Villa Co-operative Housing Society Limited its rightful land title, emphasizing that once flats are sold and a society formed, the developer's ownership is virtually transferred, making the land no longer a company asset under insolvency proceedings. This judgment comes at a critical time, addressing a long-standing conflict between homebuyers' fundamental property rights under MOFA and the protections afforded to developers through the Insolvency and Bankruptcy Code (IBC). While the IBC recognizes homebuyers as 'financial creditors' and provides a structured mechanism for resolving distressed projects, developers often exploited insolvency as a tactic to delay or deny conveyance, aiming to retain control over potential future development rights like increased Floor Space Index. This created immense uncertainty and left societies vulnerable, unable to manage or redevelop their properties effectively. Looking ahead, this High Court order is expected to empower numerous housing societies grappling with recalcitrant or insolvent developers across Maharashtra. It reinforces the protective spirit of MOFA, ensuring that builders fulfill their obligations. Furthermore, the recent notification from the Insolvency and Bankruptcy Board of India (IBBI) allowing for project-wise exclusion from CIRP will complement this ruling, aiming to shield completed or healthy real estate projects from the wider insolvency process, bringing more clarity and protection for homebuyers nationwide.
